Vendor Contract Agreement

This Vendor Contract Agreement (the “Agreement”) is entered into by and between HSE Market Ghana (the “Company”) and the undersigned vendor (the “Vendor”) as of the date of execution.

1. Services Provided: The Company agrees to provide the following services to the Vendor:

1.1 Access to WhatsApp Community: The Vendor will gain access to the Company’s growing WhatsApp community for engagement and collaboration with other vendors and buyers.

1.2 Online Marketplace Store: The Vendor will have the ability to create an online store on the Company’s marketplace, enabling the Vendor to market their products for engagement, inquiries, and quote requests.

1.3 Social Media Marketing: The Company will post the Vendor’s products on social media daily for a period of 365 days to enhance visibility and reach a broader audience.

1.4 Support Services: The Company will facilitate regular inquiries and quote requests by sending them directly to the Vendor’s inbox and WhatsApp line.

2. Vendor Responsibilities:

2.1 The Vendor agrees to pay an annual subscription fee at the prevailing rate based on the chosen package. Payment shall be made in full upon the renewal date each year.

2.2 The Vendor shall provide accurate and updated product information for listing on the marketplace and social media platforms.

2.3 The Vendor agrees to abide by the Company’s terms and conditions of use for both the WhatsApp group and the online marketplace.

2.4 The Vendor is responsible for responding to and taking advantage of inquiries and quote requests using their own sales team to close a sale.

3. Company Responsibilities:

3.1 The Company will provide a top-level sales funnel to create awareness and interest in the Vendor’s products, leveraging all marketing channels as the Company deems fit to bring leads, inquiries, and quote requests.

4. Consequences of Non-Payment:

4.1 If the Vendor fails to make the annual subscription payment by the due date, the Company reserves the right to take the following actions:

(a) Remove the Vendor from the WhatsApp community group. (b) Close the Vendor’s online store on the Company’s marketplace.

4.2 The Vendor may reinstate their services upon payment of the outstanding subscription fee, subject to the Company’s discretion and any applicable reactivation terms.

5. Term and Termination:

5.1 This Agreement is effective from the date of execution and will renew annually upon the Vendor’s subscription payment.

5.2 Either party may terminate this Agreement by providing 30 days’ written notice. Upon termination, all services provided by the Company will cease.

6. Limitation of Liability: The Company shall not be held liable for any loss or damages resulting from the Vendor’s use of the services, including but not limited to technical issues, marketplace disruptions, or missed inquiries.

7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Ghana.

8. Entire Agreement: This Agreement constitutes the entire understanding between the Company and the Vendor and supersedes all prior agreements, discussions, and understandings.

9. Acknowledgment and Acceptance: By signing below, the Vendor acknowledges that they have read, understood, and agree to the terms and conditions of this Agreement.
